Agreement and scope
These Terms of Service (“Terms”) are between you and the business you represent (collectively, “you”) and Automation Room Control, LLC (“ARC,” “we,” “us”). They govern your access to the ARC website, ARC Portal, customer accounts, subscriptions, downloads, support, and optional cloud services (collectively, the “Services”).
By creating an account, starting a trial, purchasing a subscription, or using the Services, you agree to these Terms on behalf of yourself and your business. If you do not agree, do not use the Services. If you accept for a business, you represent that you have authority to bind it.
Business accounts
ARC is intended for business use. You must provide accurate and current account information, keep your credentials confidential, and promptly update information that changes. You are responsible for activity under your account and for the people you authorize to access ARC on behalf of your business.
Notify us promptly at [email protected] if you suspect unauthorized account or installation access. We may require identity or business verification before changing account ownership, billing, or security information.
Trials, subscriptions, and billing
- Trials: trial length, eligibility, included features, and any conversion requirements are shown when you sign up. We may limit or end a trial if it is abused or used to avoid payment.
- Subscriptions: ARC subscriptions are billed per the plan, location, and optional add-ons selected in the Portal or checkout. Unless stated otherwise, subscriptions renew automatically each billing period until canceled.
- Payment: you authorize Stripe and ARC to charge the payment method associated with your account for recurring fees, add-ons, applicable taxes, and other amounts you approve.
- Price changes: we may change future subscription prices by giving reasonable advance notice. A new price applies no earlier than your next renewal after the stated effective date.
- Cancellation: you may cancel through the Portal or by contacting us. Access continues through the paid period and then expires. Except where law requires otherwise or we state otherwise, fees already paid are nonrefundable and unused time is not prorated.
- Payment problems: failed or overdue payments may result in a grace period, suspension of cloud services, or license expiration after the applicable paid or grace period.
ARC Software license
Your subscription gives you the right to use ARC Software only as described in the EULA and for the locations covered by your active subscription. Buying a subscription does not transfer ownership of ARC Software or its source code. The current EULA is available at automationroomcontrol.io/eula.
Acceptable use
You may not, and may not help anyone else to:
- Use the Services unlawfully, fraudulently, abusively, or in a way that infringes another person’s rights.
- Interfere with, disrupt, overload, probe, scan, or bypass the security or access controls of the Services.
- Access another customer’s account, data, license, installation, or connected service without authorization.
- Copy, resell, sublicense, distribute, or commercially exploit the Services except as expressly permitted in writing.
- Reverse engineer, decompile, or attempt to derive source code or protected service logic except where applicable law expressly permits it despite this restriction.
- Submit malicious code, false account information, unlawful content, or material you do not have the right to use.
- Use ARC as the sole or primary life-safety, fire, security, emergency, or code-required egress system.
Your content and business data
You retain ownership of configuration data, game logic, media, messages, logos, feature requests, and other content you submit or create (“Customer Content”), subject to any separate rights you grant us. You grant ARC a limited license to host, copy, transmit, display, and process Customer Content only as needed to provide, secure, support, and improve the Services you use.
You are responsible for Customer Content, including its accuracy, legality, required notices and consents, and your right to provide it. You are also responsible for maintaining appropriate local backups except to the extent a specific paid backup service expressly provides otherwise.
Third-party services and integrations
The Services may link to or integrate with third-party products such as Stripe, Slack, Discord, Cloudflare, device manufacturers, and other platforms you choose. Those products are controlled by their providers and may be governed by separate terms and privacy policies. ARC is not responsible for third-party products, their continued availability, or changes they make.
When you connect a third-party service, you authorize ARC to exchange the information needed to operate that integration. You are responsible for the third-party account, permissions, configuration, fees, and compliance associated with your use.
Service availability and changes
We work to maintain and improve ARC, but the website, Portal, downloads, licensing endpoints, support, cloud services, and integrations may be unavailable, delayed, changed, or discontinued. We do not promise a particular uptime, support response time, feature set, integration, or release schedule unless a separate written agreement expressly says otherwise.
ARC Software is designed to run core escape room operations at your business, but internet access is still required for licensing, updates, downloads, account management, and optional cloud services as described in the product and EULA.
ARC intellectual property and feedback
ARC Software, the Services, documentation, website, branding, designs, and related materials are owned by Automation Room Control, LLC or its licensors and are protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms and the EULA, we reserve all rights.
If you send suggestions, feature requests, bug reports, or other feedback, you grant ARC a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without restriction or compensation. This does not transfer ownership of your separately identified Customer Content.
Suspension and termination
You may stop using the Services and cancel your subscription at any time. We may suspend or restrict access when reasonably necessary to protect the Services or others, investigate suspected abuse or fraud, comply with law, address a payment problem, or respond to a material breach of these Terms or the EULA.
When a subscription ends, license and service access expire as described in the EULA and applicable product terms. You remain responsible for charges incurred before termination. Provisions that by their nature should survive—including ownership, feedback, disclaimers, liability limits, dispute terms, and payment obligations—continue after termination.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ARC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Services will be uninterrupted, error-free, secure, or compatible with every device, network, configuration, or third-party service. Safety and software-specific disclaimers also appear in the EULA.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BOOKINGS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES—even if advised of the possibility.
ARC’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID ARC FOR THE AFFECTED SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
Governing law and disputes
These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles. A dispute the parties cannot resolve informally will be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Missouri. Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or prevent irreparable harm.
Each party waives the right to a jury trial and to participate in a class, consolidated, or representative action to the extent permitted by law.
Changes and contact
We may update these Terms as ARC changes. The current version will be posted here with a revised effective date. If a material change affects an active subscription, we will provide additional notice when reasonably required. Continued use after an update takes effect means you accept the updated Terms; if you do not agree, stop using the Services and cancel your subscription.
