This End User License Agreement (“Agreement”) is between you and the business you represent (collectively, “you”) and Automation Room Control, LLC (“ARC,” “we,” “us”). By clicking Accept, installing, or using the ARC software, you agree to this Agreement on behalf of yourself and your business. It governs the ARC software and all current and future updates. If you do not agree, do not install or use the software.
License
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use ARC on one computer (the “ARC server”) at one physical business location per active subscription. Other devices on your local network may connect to that ARC server as part of normal operation at that location, but the software itself may only be installed and run on one computer per subscription. Each distinct business location requires its own separate subscription. You will not resell, redistribute, sublicense, or reverse-engineer the software except where the law expressly permits.
Your Systems and Environment
ARC runs on hardware, operating systems, networks, and power that you own and control. We do not control and are not responsible for the computer ARC runs on, your network, internet, or electrical power, or any other software on those systems. Keeping them working, updated, secure, and compatible is your responsibility. You are also responsible for maintaining reasonable cybersecurity on all systems running ARC, including protecting against unauthorized access to any physical devices — such as electronic locks — that ARC is configured to operate.
Third-Party Devices and Services
ARC connects to third-party hardware and ecosystems we do not make or control — for example Philips Hue, Z-Wave, Zigbee, MQTT, and other devices, hubs, locks, and integrations. Their behavior, availability, firmware, and changes are outside our control, and we are not responsible for how they perform or fail.
“As Is,” No Warranty
ARC is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that ARC will be uninterrupted or error-free, or that it will work with every device, configuration, or system.
Not a Life-Safety or Security System
ARC is automation and operations software — not a life-safety, fire, security, or emergency system. Do not rely on ARC for player safety, room exit, locks that confine people, or any situation where a failure could cause injury or harm. ARC must not be used as the sole or primary mechanism for any lock, barrier, or system capable of restricting a person’s egress. You must maintain independent, code-compliant manual egress, emergency release, and safety systems that work even if ARC, the computer, the network, or any connected device fails.
Your Responsibilities
You are responsible for:
- testing ARC and your automations before using them to run games;
- keeping backups of your configuration and game data;
- complying with all applicable laws, ordinances, and fire, safety, and building codes;
- having staff procedures to run and safely end games without ARC;
- ensuring that all staff who operate ARC are trained on its use and on manual override and emergency procedures;
- complying with all applicable data protection and privacy laws in connection with any personal data you collect or process in the operation of your business; and
- notifying us promptly if you become aware of any unauthorized access to the computer running ARC.
Limitation of Liability
To the maximum extent permitted by law, Automation Room Control, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost revenue, lost bookings, lost profits, downtime, data loss, or business interruption, arising from or relating to your use of (or inability to use) ARC — even if advised of the possibility. Our total liability for any claim will not exceed the amount you paid us for ARC in the twelve (12) months before the claim arose. Nothing in this Agreement limits or excludes either party’s liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.
Optional Add-On Services
The following optional services are available under separate subscriptions and are governed by this Agreement in addition to any service-specific terms presented at the time of purchase.
(a) ARC Vision. ARC Vision is an optional add-on that provides a camera viewer and short-term network video recorder (NVR), allowing you to view and play back recorded video footage within your business. ARC Vision is a local software tool; video footage is stored on your own hardware and is subject to the same system and security responsibilities described in Section 2.
The legality of video surveillance and recording varies by jurisdiction. It is solely your responsibility to determine whether your use of ARC Vision — including recording, retention, and any display of footage — is lawful in your jurisdiction before enabling or using the feature. We make no representation that ARC Vision is appropriate or legal for use in any particular location. We are not responsible for any loss, claim, fine, or liability arising from your use of ARC Vision.
(b) ARC Cloud Backup. ARC Cloud Backup is an optional paid add-on that stores recovery archives you choose to upload to ARC’s cloud infrastructure. Each archive includes core ARC configuration data and may also include, based on the backup scope you select, media-library files, generated text-to-speech assets, and chat settings and history. The following terms apply:
- Coverage: The contents of each recovery archive reflect the backup scope you select in ARC. ARC does not separately collect booking records or video footage through Cloud Backup, but files or chat history you choose to include may contain personal, confidential, or customer information. You are responsible for selecting an appropriate scope and complying with applicable privacy and data-protection requirements.
- Encryption: Recovery archives are transmitted using HTTPS encryption in transit. Backup archives are not encrypted at rest on our servers. By enabling Cloud Backup, you acknowledge and accept this. If you consider any selected content sensitive, you should use local backups only.
- No guarantee: Cloud Backup is provided on a best-effort basis. We do not guarantee availability, restore success, or any particular retention period. You should maintain independent local backups regardless of whether Cloud Backup is enabled.
- Cancellation and deletion: Your cloud backup data will be deleted within thirty (30) days after your Cloud Backup subscription ends or your account is terminated.
Intellectual Property and Configuration Data
ARC and all related software, documentation, and materials are and remain the intellectual property of Automation Room Control, LLC. This Agreement grants you no ownership rights in the software. Configuration data, game sequences, puzzle logic, and other content you create using ARC remain your property. We will not use your configuration data for any purpose other than providing the services described in this Agreement.
Feedback
If you provide suggestions, feature requests, bug reports, or other feedback regarding ARC or any add-on services, you grant Automation Room Control, LLC a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the software. We are not obligated to act on any feedback.
Maintenance and Updates
We maintain and improve ARC on a commercially reasonable, best-effort basis. We do not guarantee any particular uptime, response time, or update schedule. This Agreement applies to the software and all updates; continued use after an update means you continue to accept it.
Termination and License Expiry
Either party may terminate this Agreement on thirty (30) days’ written notice. We may cancel your license immediately if you materially breach this Agreement and fail to cure that breach within ten (10) days of written notice from us. Upon cancellation or non-renewal, ARC will continue to function until the end of your current paid license period. At that point, ARC will cease to operate when it can no longer validate an active license. We do not remotely deactivate the software prior to license expiry.
Upon termination or expiry: (a) you must delete all copies of ARC from your systems once the license period ends; and (b) if you subscribe to ARC Cloud Backup, your cloud backup data will be available for export for thirty (30) days following termination, after which it will be permanently deleted. Sections 4, 5, 7, 9, 10, 13, and 15 survive termination.
Export Controls
ARC is classified as EAR99 under the U.S. Export Administration Regulations and does not require an export license for most destinations. You agree not to export, re-export, or transfer ARC to any country, entity, or person where such transfer is prohibited by applicable U.S. or local law. By using ARC, you represent that you are not located in, or a national or resident of, any country subject to a U.S. trade embargo, and that you are not listed on any U.S. government restricted-party list.
Changes to This Agreement
We may update this Agreement from time to time. The current version is always available at automationroomcontrol.io and in your customer portal, and we maintain a version history so you can review prior versions. Your continued use of ARC after an update constitutes your acceptance of the updated terms. If you do not accept an update, you may stop using ARC and cancel your subscription.
Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Missouri, without regard to its conflict-of-law principles. Any dispute arising from this Agreement that the parties cannot resolve informally will be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in Missouri. Judgment on any arbitration award may be entered in any court of competent jurisdiction. Either party may seek emergency injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or prevent irreparable harm. Each party waives the right to a jury trial and to participate in any class-action proceeding.
